2. When Form Must be Filed(a) This Form must be filed within 10 days after the event by which the person becomes a reporting person (i.e., officer, director, ten percent holder or other person). This Form and any amendment is deemed filed with the Commission or the Exchange on the date it is received by the Commission or the Exchange, respectively. See, however, Rule 16a-3(h) regarding delivery to a third party business that guarantees delivery of the filing no later than the specified due date. (b) A reporting person of an issuer that is registering securities for the first time under Section 12 of the Exchange Act must file this Form no later than the effective date of the registration statement. (c) A separate Form shall be filed to reflect beneficial ownership of securities of each issuer, except that a single statement shall be filed with respect to the securities of a registered public utility holding company and all of its subsidiary companies. Source: www.sec.gov/files/form3data.pdf—————————————— (a) This Form must be filed within 10 days after the event by which the person becomes a reporting person (i.e., officer, director, ten percent holder or other person). 2. Date of Event Requiring Statement (Month/Day/Year) 01/01/2020 It appears, to me at least, that the “event” took place on 1/1/2020. I may very well be misunderstanding this but it appears the answer is right there. 01/01/20 is the 'event' (Hooper's effective date of appointment to the board) that triggers the 10day rule because he went from Joe Shmo to a board member. The purchase of shares remains unknown however, he is now required to report his shares due to his status. Regardless, we know these were not gifted or part of his compensation because they are (D) Direct purchase, according to the Form 3. As many have done, on hearing of Mr. Hooper's appointment to the Board, I went and did some research on him. Whether he comes from Amgen is not important to me, he has also held high end operations positions for other major pharma, and has the experiences in areas where mnkd seems weak. This is important to me as he should be able to give direction and provide insight and relationships to expand Mnkds outreach in those areas. Whether he was gifted the stock or bought it, he must beleive in mnkd as otherwise a person with this kind of background could find another board seat and fly under the radar much easier if that was his real interest. IMHO... GLTAL's!!!!!

He can hold as many board seats as he wants, AFAIK. I doubt he gave anything up by agreeing to sit on MNKD's board. Indeed, he was just appointed to the BeiGene Board of Directors a few days ago. markets.businessinsider.com/news/stocks/beigene-announces-closing-of-amgen-global-strategic-oncology-collaboration-and-equity-investment-1028791383

Are you certain you don’t want to wait until $1.15 ? And if we hit $1.15, wait for $1.10? Or if we hit $1.10, wait until $1.05? You can wait if you want ... but remember that we are noted in Forbes. So double ... triple ... fourple ... Nateple ? If I don't hit my baseline by Monday morning, I'll adjust my order to buy in. I fly out for Las Vegas on Tuesday night. But, that's mytakeonit

IMHO... GLTAL's!!!!! I would like to know if he already held the shares, or if was given them. That's really for my own curiosity though as I have no objection to his being given shares anyway. My objection is simply that I think he is the wrong person for the job. His experience is with big pharma and not with running companies. Look at the BoD for Eli Lilly for example - excluding the CEO and Chairman there are twelve members of which only three have a medical background. All the rest are or were C-level or Chairmen of other large companies. The BoD is focused on the business, not on the detail. The CEO should be capable of producing the strategy and delivering, that's not the role of the BoD. Don't feel bad for Tony, he is going to trying to collect as many board seats as he can since that's going to be how he earns a living now. Mannkind is just one in what I expect will be a list.

I see you “liked” that post sports..you agree that Mike C bringing on Hopper isn’t a big deal, or even more, not the “right person for the job”?

Yes I agree with aged, and I don’t think it has anything to do with Amgen, at least not in the way people think. I think he’s MC’s buddy.
