The S-3ASR is an automatic shelf registration statement which is immediately effective upon filing for use by well-known seasoned issuers to register unspecified amounts of different specified types of securities. This Registration Statement is for the registration of securities under the Securities Act of 1933.
Edit: I really don't get it though, the excel spreadsheet posted on the mannkind investor's page doesn't have any details.. -1 for number of warrants issued etc.

Often used as preparation for a new stock offering, I hope it is just for the stock to settle the loan that was due in August and that got kicked down the road to September, but just a hopeful guess.
It would nice if mnkd management would inform its stockholders, but they are usually reluctant to do that.

perhaps the sale of non registered shares to Sanofi to retire the other shares. just a guess on my part. They could also be exchanging notes issued by Sanofi to MannKind for shares . That would also be a very positive thing to clean up their balance sheet. Seems to me this has been planned out very efficiently by MannKind. It's just the timing that is keeping us on pins and needles (no pun intended). if this might be the situation it's game over for shorts.

I am thinking it is the same, we know there was going to be some issued in sept to settle the loan, but I am just speculating.

So the document was finally updated on the mannkind investor's page. And basically there's no info in it because "Omitted pursuant to Form S-3 General Instruction II.E. Such indeterminate amount of securities are being registered as may from time to time be offered at indeterminate prices."
So we don't know anything.

I also find the 5th paragraph extremely intriguing when he is talking about Hedge Funds clamming that the company was going to do a PIPE therefore shorting the stock, could this be why the price has declined since June? I do like how he states the most interesting aspect of a shelf is the flexibility, that is great to hear.

So sounds like we don't know. Friday to minimize damage would be for new investors. Everyone else knows there would be small non material dilution to settle the debt. Anyway, have a great holiday weekend everyone. Thanks to vets and God bless our country.

Probably related to the debt that was pushed to September 15th. Reading the filing now

harry, I've spent the past 15 minutes reading through the main filing from 2012 and I cannot find anything in there that says it expires in 3 years. Where is an expiration specified?
