MNKD's stock is worth about 300 million at the current price. So the section 382 limitation is $6,000,000? So an acquirer could write off 6 million a year for 433 years? Sounds like something the IRS would come up with."

There is a 20 year carry forward limit, is there not? So I think the 433 years is way off base.
"[T]he business may also carry the amount forward over the next 20 years, reducing the amount of taxable income during that time. If a business creates NOLs in more than one year, they are to be drawn down completely in the order they are created before drawing down another NOL. Because any remaining NOL is canceled after 20 years, this reduces the risk of the NOL not being used."

RLS needs to be merged into Mnkd to Maximize the benefit. If Mnkd+ RLS make $300M/yr profit from new drugs, Afrezza, EpiHale, PAHale, CNS, pain, dreamboat, cricket, mfgr, patent, IP licensing, ..., they will not pay a dime tax until the NOL is exhausted. Tax free haven w/o relocating offshore. They can use the tax free profit to pay dividends to the long suffering Old Faithfuls, and reinvest.
Mnkd needs a long term financial solution to get out of the current vicious circled predicament. Dinking, dunking can only buy a few mos at a time. Matt is way out of his league. The onus is on BoD for a long term solution.

With new money from Vulcan, Bezos which ensures long term Mnkd+RLS viability, and possibly new CEO, new board members, short would cover in earnest. Higher Pps begets new financing options if needed. It's a win-win for all. Don't underestimate the $2.6B NOL carrot for the backers. Imagine the backers invest $300M for 25% of the combined co. which would be valued at $1.2B plus debt for an EV of $1.5B. Pps would rise way over 60 cents. The upshot is with a new CEO, BoD members controlled by the 800 lbs gorillas, sufficient resource, the company will be reinvented, much more aggressive, diversified, and nimble. That's the co. I want to invest. |

He is even quoted when he became chairman of the transformation that will take place to make Al Mann's dreams into a reality. Kresa will not be replaced.
