This means that MNKD can sell shares (up to the lesser of $50M or 50M shares) at any time on the open market and without additional notification. We would only hear about the actual increase at the next quarterly report. So they could sell like any other investor? One day sell 10,000 here, another day sell 30,000? We need cash, and if they are selling shares at the current price they will need to sell a lot of shares unless they have money coming from other places. Or something drives the stock price higher. The market does not seem to be buying anything positive coming on Monday.

MannKind Corporation

MannKind yesterday filed an 8-K and prospectus supplement to renew their ATM facility, as discussed in the last conference call. To address questions on these filings: This does not mean the Company sold shares, and as stated in the last call, should not be considered a signal of any intention to sell under the ATM. investors.mannkindcorp.com/secfiling.cfm…

Yes, but do you believe them? "should not be considered a signal of any intention to sell under the ATM"

I think it would be strange to put this out & then turn around on the 9th to say "NOW we're going to tap the ATM"

I think it would be strange to put this out & then turn around on the 9th to say "NOW we're going to tap the ATM" I agree, it would be strange. However, and as unpopular this opinion is on this board, the current mgmt team isn't the most honest or strait forward and doing so after the 9th wouldn't be THAT shocking at this point. I hope I'm wrong, but in my opinion this group is borderline cruel to shareholders and anticipate them doing just that on the 10th or shortly after. Again, I truly hope I'm wrong but I don't anticipate much more than a 15 minute speel on the 9th then bad news to hit shortly after

You are of course entitled to your opinions. I for one would appreciate it if you would keep them to yourself. However, there's plenty of this nonsense going on at the YMB. Perhaps they would be more open to your style of FUD.

Okay, I apologize for exhausting you via an on line, almost anonymous retail investors message board and promise not to post again for fear of upsetting the continual upbeat and love most have for this mgmt team. If you can tell me where you bought your rose colored glasses I'd love to experience your world for a while. Believe it or not, we are on the same side as I'm holding a lot of long shares as well, which have lost most of their value since purchase. But if my raising concern that perhaps Matt pfeffer doesnt possess the same intelligence or knack of business sence as al Mann once did (and perhaps ethics as well) rocks your world, I'll stand aside and wisjbo could find the same glasses which seem to be giving you piece with your investment. Good luck to all (including myself).

You have a small biotech in a ton of debt that is on its last leg, and due to these circumstances you are not going to have top talented guys running the show. If Matt has to lie or be deceptive to get the price per share up and that will help get more out of whatever they are doing with these shares then so be it. You don't get ahead being Mr nice honest guy. If you think Al became a billionaire without shitting on someone a long the way I have a unicorn I can sell you and you can borrow the rose color glasses from RCH!!! These guys need to play a little dirty for once instead of being boyscotts

Could this mean a merger? Courtesy of parabalic YMB Written communications pursuant to Rule 425 under the Securities Act (17 CFR 230.425) Is the new 8k just filed a disclosure of a merger to be announced?.......DEFINITION of 'SEC Form 425' The prospectus form that companies must file to disclose information regarding business combination transactions. A business combination can refer to a statutory merger between two or more companies or a statutory consolidation. BREAKING DOWN 'SEC Form 425' There are five commonly-referred to types of business combinations known as mergers: conglomerate merger, horizontal merger, market extension merger, vertical merger and product extension merger. The term chosen to describe the merger depends on the economic function, purpose of the business transaction and relationship between the merging companies. Just sharing.

I couldn't care less if Matt is a nice guy and would be all for him doing whatever it takes for him to finally get the share price up..... provided he actually got the share price to go up! I'm with you 100% that he and Al are not in the same universe, and also agree 100% that Al Mann wasn't Mr. Nice Guy at times. My entire point is Matt Pfeffer appears to be completely out of league here and shows no signs of understanding what investors or Wall Street in general want. I understand the bottom line, first goal is to get Afrezza to diabetics, but this is a publicly traded company with shares available on the open market. If they wanted to focus on their first goal only, and not having to satisfy investors, then they never should have gone public. Again, I don't care what type of guy Matt is, but as the CEO/CFO/Public Relations Contact and overall face of the company, I want someone better who can enhance shareholder value. Whatever he's been doing in these role(s) the past few years CLEARY isn't working.......

RSR, I meant to comment on your post from YMB, but it just copied your post and I don't know how to delete it. Stuff keeps disappearing over there left and right so I am glad you copied it over here! Again, all of these filing are impossible for me to decipher. I guess I will reiterate the question you copied, could it mean a merger of some sort? They just keep hiring and surely they wouldn't dilute at this PPS. It wouldn't even make sense. The logical conclusion would be they have $ from somewhere, but with MNKD logic doesn't always coincide with reality (Just being honest). Any thoughts on what Rick posted from parabalic? Is it correct?
