UTHR said they would transition to manufacturing their own product, if so they may have found it cost effective to secure Danbury. The announcement (if it comes) would come from UTHR not Mannkind. It's what dreams are made of boca1 My imagination: 1) $150M private placement to UTHR. 2) MNKD pays off MidCap 3) UTHR buys Danbury facility. 4) In late 2022, UTHR knows if their Tyvaso plans are working*. And they buy the lung disease portion of MNKD. *See slide 8 of UTHR EC. $150M private placement to UTHR. Wouldn't that have to be made public?

The announcement of a PP generally drives price down. See link The difficulty the announcement created for existing shareholders was enhanced by the terms being left open. How does one make an investment decision when the terms of an announced future dilutive event are left completely open other than it’s going to amount to 15-20% of your current market cap. While I haven’t surveyed the history of these kinds of announcements, most that I’ve seen have provided much more detail, such as the rate, the conversion features, and the amounts involved. This feels like a sucker punch, and a totally unnecessary one, if the underwriters had acted properly. The only thing I can think of is that they believed there was a leak. But logically, until a deal is substantially in place, there’s really nothing there. I would never have allowed a client to make this kind of announcement. Indeed, it’s truly a ghost transaction at this point. WTF? If I were in charge, I’d fire the underwriters and announce the withdrawal of the placement because of the adverse market reaction.

Only for those that wanted to sell before 2 catalysts in April and 1 in December. I long for the day that my account drops by $310,000 and I view it as a non-issue. me too However, I know what I am holding and so do people that were on the buying side of 28M shares today

Concerns Over Rule 144A, and Responses As the Rule succeeded, as intended, in increasing non-SEC trading activity, concern rose at the number of trades that were all but invisible to individual investors, and even murky to some institutional ones, as well. In response, the Financial Industry Regulatory Authority (FINRA) in 2014 began to report Rule 144A trades in the corporate debt market. "We're excited to increase transparency in this opaque market. The information will help professional investors and contribute to more efficient pricing of these securities, as well as inform valuation for mark-to-market purposes," said Steven Joachim, FINRA executive vice president, Transparency Services.
Does anyone know how to look up Rule 144A trades?

Interesting day. Only Friday I was thinking do I have enough shares. Well thats settled now I have 10% more. I have been buying since 10 AM. Best buy this afternoon at 3.96,and still have powder on the side for tomorrow. Best part 95% of my calls are still in the money and only Aprils 5s and 7s are out with a month and a half to come back. Mangos bullets are as valid as they were Friday. So to all of todays action I say when theres blood in the streets mop it up to sweet. Lets Go!

My first guess is they are bringing in more top talent with stock options at a nice price.. I don't see this drop as a negative but more of an opportunity for those that know what's coming next in April..

Not hard to get a short position ready and in place when you shop any sort of offering (public or private) and word get's out on WS that MNKD is going to be doing XYZ in the coming weeks. I believe that set up what transpired today.

The sale of the plant was very troubling and - added to the Sr. Notes offering - shows what we already knew: they need cash to continue operations because Afrezza sales are not growing. Weren't we waiting for this shoe to drop at some point? Maybe the market (and enthusiasts here) expected funding miracles, like a new partner or pediatric clin trial sponsor, but these are essentially last gasps by MNKD to make it to the UTHR revenues goal line.

I believe MNKD will negotiate something that makes sense financially, meaning the terms of this note should allow them to at least save money over their current financing obligations, and they will be in control of repayment in cash or shares. So, the panic over dilution is premature. 6 months from now, when first interest payment is due, we may have much better future prospects and new business deals consummated, so let's see what the terms of these notes are and then judge... If anything, these notes may allow management to negotiate better business deals, when they are not strapped for money... Also keep in mind, there is a lot at stake, riding on the Tyvaso DPI approval and achieving CFBE, and additional money in the bank will provide stability until such time and until royalties arrive. Fear or greed tomorrow ? I will be taking advantage of fear
