The way I read the agreement, on the day that Deerfield chooses to convert, the last 3 days of price by VWAP will be their buy price, or $3.25, whichever is higher. That 3-day vWAP is currently below $3.25. So if the price goes up to $(whatever) today, and they decide to convert today, they still get the shares for $3.25. And every day that the PPS stays under $3.25 they get another day to wait and decide. - Sounds like we're in agreement. As long as the price lingers in the $3.25 range, Deerfield can afford to wait. However, if the price rises sharply, they'll have to fish or cut bait if they don't want to lose their edge. They always have the option to try and short the price down to the $3.25 range, take the profit, and settle with the conversion. Deerfield have a huge pool of shares that they can print at will to settle short positions. I can imagine a scenario where the price rises to $6, Deerfield go short and hammer the price down to $3.25, close out their position with converted shares, and cash out. |

And with an authorization of 140M shares... imagine what any sizable chunk of that hitting the market will do. That will dwarf 4 million. I personally wouldn't be too worried about the effects of 4M given the typical volume. |

Still think about end of September when Mike C said that next month will be good. It was good fast, and he was fast enough to get 60 mil cash. Which was a very timely move. Have a feeling that this jump was allowed, prepared, etc.

Pay staff to pump on stocktwits and other forums. Sell and short for a profit above where they anticipate the financing. Buy 10 Million shares to cover and allow MNKD to have a cash reserve to pay off future commitments to Deerfield. |

The deal might already have been signed but not yet disclosed when they did the shorting... guaranteed profit. |
